By accessing or using BacktestKit (“the Service”), operated by Aeybit (“the Company,” “we,” “us,” or “our”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, you must immediately stop using the Service.

Your continued use of the Service constitutes acceptance of these Terms in their entirety.

• “Service” refers to the BacktestKit stock screener and backtesting tool, including all related features, pages, and APIs.
• “User” or “you” refers to any individual who accesses or uses the Service.
• “Data” refers to all stock market data, technical indicator values, screener results, backtest results, and any other information presented by the Service.
• “Content” refers to all text, graphics, designs, code, and other materials provided through the Service.
• “Company” refers to Aeybit and its affiliates, officers, directors, employees, agents, and representatives.

THE SERVICE IS PURELY EDUCATIONAL AND INFORMATIONAL IN NATURE.

• The Service is designed solely for educational purposes related to technical analysis and stock screening.
• The Service does NOT provide investment advice, financial advice, trading advice, or any form of recommendation to buy, sell, or hold any securities.
• The Company is NOT registered with the Securities and Exchange Board of India (SEBI) as an investment advisor, research analyst, portfolio manager, or in any other capacity.
• No SEBI registration is required because the Service is purely educational and does not constitute investment advisory services.
• You should always consult a qualified, SEBI-registered financial advisor before making any investment decisions.

• Screener results indicate stocks that match certain user-defined technical criteria. They are NOT buy signals, sell signals, or investment recommendations of any kind.
• Backtest results display hypothetical historical performance based on user-defined parameters. They are NOT predictive of future performance or results.
• Past performance is NOT indicative of future results.
• Any decisions you make based on information obtained from the Service are made entirely at your own risk.
• The Company does not endorse, recommend, or express any opinion regarding any specific security, investment strategy, or course of action.

• Data displayed by the Service is sourced from NSE (National Stock Exchange) and third-party data providers.
• The Company makes NO guarantee regarding the accuracy, completeness, timeliness, or reliability of any Data.
• Data may contain errors, omissions, bugs, inaccuracies, or delays.
• Technical indicator calculations may differ from those used by other platforms, brokers, or financial services.
• All Data is provided “AS IS” without any warranty whatsoever.
• The Company is not responsible for any discrepancies between Data displayed by the Service and actual market data.

• All backtest results are hypothetical and subject to inherent limitations.
• Backtests do NOT account for: brokerage fees, commissions, slippage, taxes (including STT, GST, stamp duty), liquidity constraints, market impact, circuit limits, or other real-world trading costs and conditions.
• Hypothetical performance results have many inherent limitations. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.
• You must NOT rely on backtest results as a basis for making any investment or trading decisions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• The Company shall NOT be liable for any financial losses, trading losses, lost profits, or any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
• The Company’s total aggregate liability for all claims arising from or related to the Service shall not exceed INR 1,000 (Indian Rupees One Thousand) or the total fees paid by you to the Company in the twelve (12) months preceding the claim, whichever is less.
• This limitation of liability applies regardless of the legal theory on which the claim is based, including negligence, breach of contract, strict liability, or any other basis.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of any Data or Content
• Uninterrupted or error-free operation

• You acknowledge and agree that you assume ALL risk associated with your use of the Service and any decisions made based on information obtained from the Service.
• You are solely responsible for your own investment decisions and their outcomes.
• The Company bears zero responsibility for any financial outcome, whether positive or negative, that may result from your use of the Service.
• Stock market investments are subject to market risks. You acknowledge that you understand the risks involved in trading and investing in securities.

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any investment or trading decisions you make based on the Service
• Any claim by a third party related to your use of the Service

• All Content, features, and functionality of the Service are owned by the Company and are protected by intellectual property laws.
• You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, educational purposes only.
• This license does not include any right to reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Content.

You agree NOT to:

• Copy, reproduce, distribute, or publicly display any Content from the Service
• Use any automated means (including scrapers, crawlers, bots, or spiders) to access the Service
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Use the Service for any commercial purpose without prior written consent from the Company
• Resell, sublicense, or redistribute any Data or results obtained from the Service
• Attempt to gain unauthorized access to any portion of the Service, other accounts, or computer systems
• Use the Service to build a competing product or service
• Remove, alter, or obscure any proprietary notices on the Service

• The Company reserves the right to suspend or terminate your access to the Service at any time, for any reason or no reason, without prior notice.
• The Company may deny service to any User at its sole discretion.
• Upon termination, your right to use the Service ceases immediately.
• Sections relating to limitation of liability, indemnification, intellectual property, and dispute resolution survive termination.

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

• Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996 (India).
• The seat of arbitration shall be India. The language of arbitration shall be English.
• The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties.
• The arbitrator’s decision shall be final, binding, and enforceable in any court of competent jurisdiction.
• You waive any right to a jury trial or to participate in a class action, collective action, or representative proceeding.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts in India for the resolution of any disputes not subject to arbitration.

• All disputes arising from or related to these Terms or the Service shall be resolved exclusively through arbitration as described in Section 14.
• You waive the right to bring claims in any forum other than arbitration, except as required by applicable law.
• You waive any right to seek injunctive or other equitable relief except through the arbitration process.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old. If you are under 18 years of age, you must immediately stop using the Service.

• The Service may collect certain information through Google OAuth authentication, including your name, email address, and profile picture.
• The Service may collect usage data to improve functionality and user experience.
• The Company will not sell your personal information to third parties.
• By using the Service, you consent to the collection and use of information as described herein.

• The Company reserves the right to modify these Terms at any time, at its sole discretion.
• Changes to the Terms are effective immediately upon posting.
• Material changes will require re-acceptance of the Terms through the Service.
• Your continued use of the Service after any modification constitutes acceptance of the modified Terms.

• The Service may be discontinued, suspended, or modified at any time without prior notice.
• The Company has no obligation to maintain, support, update, or continue operating the Service.
• The Company shall not be liable for any interruption, suspension, or discontinuation of the Service.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.

• These Terms constitute the entire agreement between you and the Company regarding the use of the Service.
• These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
• No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
